These Terms of Service (“Terms”) are a legal agreement between you and Raze Labs, LLC (“Raze Labs,” “we,” “us,” or “our”) governing your use of the Slate mobile application and any related services (together, “Slate”).
By downloading, installing, or using Slate, you agree to these Terms. If you do not agree, do not use Slate.
These Terms also serve as the end user license agreement for Slate. Section 15 contains terms Apple requires us to include.
You must be at least 13 years old, or the minimum age of digital consent in your country if that is higher, to use Slate. If you are under the age of majority where you live, you may only use Slate with the involvement of a parent or guardian who agrees to these Terms on your behalf.
By using Slate you represent that you meet these requirements and that you have not been previously suspended or removed from Slate.
Slate is a calendar. You schedule blocks of time, and during those blocks Slate asks iOS to restrict access to apps and categories you have chosen. Blocks can be soft, which you can leave early by spending one of a limited number of daily emergency passes, or hard, which cannot be ended early from inside the app.
Slate is a self-management tool. It is designed for you to use on yourself.
This section matters more than the rest of this document. Please read it.
Slate applies restrictions using Apple's Screen Time frameworks. Those frameworks are provided by Apple and controlled by iOS, not by us. Blocking depends on the operating system behaving as documented and on permissions you have granted remaining granted.
Slate cannot and does not guarantee that any app will be blocked at any given moment. Blocking may fail or stop working for reasons including, without limitation: you revoke Screen Time permission in iOS Settings; you delete or reinstall Slate; you use a different device, a computer, or a web browser; iOS changes, updates, or malfunctions; the device is restored from a backup; or the device is offline at a moment when an update was needed.
Hard mode is a commitment device, not a lock. It deliberately does not prevent you from deleting Slate or from turning off Screen Time permission in iOS Settings, and we do not attempt to prevent either. Do not rely on hard mode as though it were a physical or technical impossibility. It is friction, chosen by you, that you can still remove.
Slate is a productivity tool. It is not a medical device, and it is not treatment for, or a diagnosis of, any condition, including any form of compulsive use, addiction, attention disorder, or mental health condition. Nothing in Slate is medical, psychological, or professional advice.
If you are struggling with compulsive technology use or your mental health, please speak to a qualified professional. Do not use Slate as a substitute for that care.
Do not use Slate in any circumstance where being unable to reach an app could cause harm, loss, or danger. Blocking an app does not exempt you from being able to reach emergency services, but you are responsible for making sure the restrictions you choose are appropriate for your circumstances. You choose what to block, when, and how strictly. Those choices, and their consequences, are yours.
You need an account to use Slate. Accounts are created with Sign in with Apple. You are responsible for maintaining control of the Apple Account you use to sign in and for all activity that happens under your Slate account.
One person, one account. Do not share your account, and do not create an account on behalf of anyone else without their permission.
Tell us promptly at ian@razelabs.app if you believe your account has been accessed without your authorization.
Slate offers an auto-renewing subscription. Subscriptions are sold and processed by Apple through the App Store, not by us. Payment is charged to your Apple Account at confirmation of purchase.
Your subscription renews automatically and will continue until you cancel it. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period, at the price and for the period shown at the time of purchase. The length of the renewal term, the price, and what is included are disclosed in the app before you purchase, and the current pricing for your region is shown on the purchase screen.
Cancel at any time in iOS Settings, then your name, then Subscriptions. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Only Apple can cancel an App Store subscription. Deleting Slate does not cancel it. Deleting your Slate account does not cancel it either.
If a free trial is offered, any unused portion is forfeited when you purchase a subscription. Unless you cancel at least 24 hours before the trial ends, it converts automatically into a paid subscription at the disclosed price.
We may change subscription pricing. Where a change affects your existing subscription, Apple will notify you and, where required, ask for your consent before the new price takes effect. If you do not agree, cancel before the change applies.
Purchases are handled by Apple, and refunds are at Apple's discretion under Apple's terms. We cannot issue refunds for App Store purchases. Request one at reportaproblem.apple.com. Where consumer law in your country grants you a statutory right to a refund or a cooling-off period, that right is unaffected by anything in this section.
Block titles and the other text you enter are yours. You keep all rights to them.
You grant us a limited, worldwide, non-exclusive, royalty-free license to store, transmit, and display that content solely for the purpose of operating Slate for you: syncing it between your devices, restoring it if you reinstall, and backing it up. This license exists only so that we can run the product, ends when you delete the content or your account, and does not permit us to use your content for any other purpose.
You are responsible for what you enter. Do not enter anything unlawful, and do not enter sensitive information you would not want stored.
Do not:
We may suspend or terminate accounts that violate this section.
Slate, including its software, design, interface, text, graphics, and the Slate name and logo, is owned by Raze Labs and protected by intellectual property law. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use Slate on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
Nothing in these Terms transfers ownership of anything to you. All rights not expressly granted are reserved.
We may add, change, or remove features. We may also suspend or discontinue Slate, in whole or in part, at any time.
If we discontinue Slate entirely, we will make reasonable efforts to give advance notice and, where we can, to let you export your data. If we discontinue Slate while you hold a paid subscription, we will make reasonable efforts to arrange a pro-rated refund through Apple for the unused remainder of your current term.
You may stop using Slate at any time and delete your account from within the app.
We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continuing to provide Slate to you would create a legal or security risk. Where circumstances reasonably allow, we will give you notice and a chance to fix the problem.
On termination, your license ends and you must stop using Slate. Sections 3, 6, 8, 11, 12, 13, 14, and 15 survive termination.
Slate is provided “as is” and “as available,” without warranty of any kind.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that Slate will be uninterrupted, secure, error-free, or available at any particular time; that blocking will work reliably or at all; that defects will be corrected; or that Slate will meet your requirements or produce any particular result.
Some jurisdictions do not allow the exclusion of implied warranties. In those places, the exclusions above apply only to the extent permitted, and you may have rights that these Terms cannot limit. Nothing in these Terms affects your non-excludable statutory consumer rights.
To the fullest extent permitted by law, Raze Labs and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or productivity, arising out of or relating to your use of or inability to use Slate. This applies regardless of the legal theory and even if we have been advised of the possibility of such damages.
In particular, and without limiting the above, we are not liable for any consequence of an app being blocked, or of an app failing to be blocked, including any missed communication, opportunity, deadline, or obligation.
Our total aggregate liability arising out of or relating to Slate will not exceed the greater of the amount you paid us for Slate in the 12 months before the event giving rise to the claim, or fifty United States dollars (US$50).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
You agree to indemnify and hold harmless Raze Labs and its members, officers, employees, and agents from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your misuse of Slate, your violation of these Terms, or your violation of any law or the rights of any third party.
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of laws rules. You and Raze Labs submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any dispute not subject to informal resolution.
Before filing anything, please email us at ian@razelabs.app. Most problems are faster to fix directly, and we commit to trying to resolve disputes informally for at least 30 days before either side starts formal proceedings.
If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the right to bring proceedings in your local courts or to the benefit of your local mandatory consumer protection law, nothing in this section removes that right.
Slate is licensed, not sold, to you. This section applies because Slate is distributed through the App Store, and Apple requires it.
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Raze Labs about Slate, and replace any prior agreement about it.
Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the rest remains in effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Changes to these Terms. We may update these Terms. If a change is material, we will update the date at the top and notify you in the app or by email before it takes effect. Continuing to use Slate after that means you accept the updated Terms. If you do not accept them, stop using Slate and delete your account.
